contract of Partnership

an agreement made the first day of July 1906 between Walter Herbert Hinton of 72 Potters Hill aston electrical woodworker of the one part. and Walter Bernard Brockington of 132 Wheeler Street Birmingham shopfitter of the other half. Witnesseth that the said Walter Herbert Hinton and Walter Bernard Brockington hereby mutually agree to become partners in the business of electrical and general woodworkers and shop fitters. Upon and subject to the following conditions (namely).

The The partnership shall be for the term 14 years computed from the first day of July 1906.

The name of the firm shall be Hinton and Brockington and the business be carried out at the premises of 72 Potters Hill aston aforesaid or at such other place as the partners shall time to time agree on.

The capital of firm is as present represented by the stock in trade machinery tools and trade utensils in and upon the premises and which stock in trade machinery tools and trade utensils belong to the partners in equal shares.

The profits and losses of the business shall be divided between the partners in equal shares.

Proper accounts shall be kept of all partnership transactions and or the 30th day of June and the 31st day of December, in every year or as soon afterwards as possible. a balance sheet shall be made out showing the assets and liabilities of the firm and what belongs and is due to each partner. For capital and share of profits and the same shall be signed by both partners and where so signed shall be conclusive except that if a manifest error should be discovered therein within in three calendar months after the signature thereof such error shall be rectified.

Both partners shall devote their whole time and attention to the partnership business and neither shall be engaged discreetly or indiscreetly in any other business. Neither partner shall without the consent of the other become bail or surety for any person.

Each partner may draw the weekly wage of £2 2shillings and no pence out of the partnership cash on account of his share of the profits for the current half year.

all matters in the difference in relation to the partnership affairs shall be referred to two arbitrators one to be appointed by each party according and subject to the provisions of the arbitration act 1889.

The liabilities of the late firm of Hinton Brothers which included a loan of £57 12 shillings and no pence will be taken in hand conjointly by the aforesaid Walter Herbert Hinton and Walter Bernard Brockington to be paid off by profit made in excess of weekly wage. as witness the hands of the said parties here to

The above picture shows the Fruit and Vegetable shop belonging to a Mr and Mrs Henny They had a dog, a Red Setter called Rusty with a flea-bitten tail that was always blocking the way to the sprouts and carrots.

Next door on the left is the Dispensing chemist -Sanders later on it was owned by the Biddles. The greengrocers was perhaps amongst the most important two shops in Potters Hill!! Just across the road from it, there was a Joke Shop.Owned by a Mrs. Sheargold who used the shop as a lock-up and lived opposite us at 104 Tower Rd. We would often call in and buy a Pea Shooter and then pop over and see Mr Henny at the Greengrocers for the much needed ammo!
